AlchemOS Terms of Service
1) Acceptance of Terms
These Terms form a binding agreement between you and AlchemOS (“we”, “us”). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2) Accounts & Eligibility
You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account. We may decline, disable or reclaim usernames that violate policy or rights.
3) Subscriptions, Trials & Billing
- Plans. Services may be offered via free trials and paid tiers as described on pricing.
- Billing. Unless otherwise stated, fees are billed in advance, non-refundable, and exclusive of taxes.
- Auto-renewal. Paid subscriptions renew automatically unless cancelled before the renewal date.
- Overages. Usage beyond plan limits may incur additional charges.
4) Acceptable Use
You agree not to, and not to allow others to:
- Violate laws, infringe IP, or misuse personal data.
- Attempt to access others’ data, bypass security, or probe systems without authorization.
- Interfere with Service integrity, including excessive automated traffic or spam.
- Reverse engineer or create derivative works except where permitted by law.
5) Data & Privacy
Our processing of personal data is described in the Privacy Policy and use of cookies in the Cookie Policy. You are responsible for supplying lawful instructions and notices to your end users.
6) Security & Uptime
- Security. We implement industry-standard administrative, technical and physical safeguards.
- Uptime SLA. Target availability is 99.9% monthly for production Services.
- APIs. Integrations supported via REST and Webhooks.
- Incidents. We notify customers of material security incidents without undue delay.
7) Third-Party Services
The Services may interoperate with third-party products (e.g., Opera PMS, Oracle, Stripe/Adyen, POS, channel managers). Third-party terms govern those products. We are not responsible for third-party acts or omissions.
8) Intellectual Property
We retain all rights, title and interest in the Services and related IP. Customer content remains yours. You grant us a limited license to host, process and transmit your content solely to provide the Services.
9) Feedback
Submitting ideas or suggestions is voluntary; you grant us a perpetual, irrevocable, royalty-free license to use them.
10) Confidentiality
Each party may use the other’s confidential information only to fulfill this agreement and must protect it with reasonable care. Obligations do not apply to information that is public, independently developed, or rightfully obtained.
11) Disclaimers
Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12) Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or lost profits, even if advised of the possibility. Our aggregate liability for claims arising out of or related to the Services will not exceed the amounts paid by you to us for the Services in the 12 months before the claim.
13) Indemnification
You will defend and indemnify us from claims arising from your content, your use of the Services, or your breach of these Terms. We will defend and indemnify you from claims alleging that the Services infringe third-party IP, subject to standard exclusions.
14) Suspension & Termination
We may suspend or terminate access for material breaches, security risks, or non-payment. You may terminate at any time; refunds are provided only where required by law or by a specific written commitment.
15) Governing Law
These Terms are governed by the laws of your local jurisdiction or as specified in your order form, excluding conflict of law rules. Venue will be the competent courts of that jurisdiction.
16) Changes to these Terms
We may update these Terms to reflect changes in our Services or legal requirements. Material changes will be notified via the Service or email and become effective on publication unless otherwise stated.
